Joseph Frumkin is the managing partner of Sullivan & Cromwell’s mergers and acquisitions group. His practice focuses on U.S. and cross-border mergers and acquisitions and general corporate representation. Mr. Frumkin has represented principals in many of the largest M&A transactions in history.
These large transactions include representation of TXU in its acquisition by a consortium led by KKR and TPG and Cingular in its acquisition of AT&T Wireless, the two largest ever U.S. cash acquisitions, and Endesa in its acquisition by Enel and Acciona, the largest ever European cash acquisition, as well as in earlier acquisition proposals to Endesa from Gas Natural and E.ON. They also include numerous transactions for AT&T Inc. (formerly SBC Communications) such as its acquisitions of BellSouth, AT&T, Pacifi c Telesis, SNET, Prodigy, Associated Communications and other wireless businesses and in the formation of its Cingular joint venture with BellSouth.
Mr. Frumkin also represents clients in smaller transactions and advisory situations, and has advised buyers and sellers in friendly and unsolicited situations in a wide range of industries including regulated utilities, trading, insurance, cable, real estate, industrial companies, retailers, and financial services. Mr. Frumkin was an American Lawyer “Dealmaker of the Year” in 2004 for his work in the Cingular-AT&T Wireless transaction.
