Lisa Jacobs

Ms. Jacobs is a partner in the Philadelphia office of DLA Piper LLP (US). She focuses her practice on representing businesses and institutional and individual clients in domestic and international transactional matters including complex corporate finance, mergers and acquisitions, institutional and private equity financing, venture capital transactions, asset securitizations and private placements, and private equity fund formation and governance issues with a particular emphasis on the food and beverage and healthcare industries.  Ms. Jacobs is a Commissioner of the Uniform Law Commission (ULC), serving on several committees, including the Enactment Committee for the Harmonized Business Organizations Acts, and drafting committees for the Limited Liability Company Protected Series Act, and the Employee and Student Online Privacy Protection Act and the US-Canada Harmonization of Registration of Foreign Judgments Acts (for which she serves as its Chair).  She is a ULC-appointed member of the ULC’s Scope and program Committee and the ULC-ABA Joint Editorial Board for Uniform Unincorporated Organization Acts.  She also chairs the ULC’s Diversity and Inclusion Project. Ms. Jacobs has been a member of the American Law Institute since 2009 and is active in both the American Bar Association and the Pennsylvania Bar Association, currently serving as Co¬Chair of the ABA's Uniform Law Committee and Co-Chair a member of the Title 15 Drafting Committee.  Ms. Jacobs is also a member and now Chair of the Advisory Committee for the Pennsylvania Department of State Corporations Bureau (by appointment of the Secretary of the Commonwealth). She also was a member of the Pennsylvania Bar Association Task Force on the Uniform Fraudulent Transfer Act and helped draft the Pennsylvania Act, which became effective in 1993. Her civic involvement includes her service as a member of the Board of Directors of  Republic First Bancorp, a regional bank with more than $2B in assets, and the Philadelphia¬Freedom Valley YMCA, the seventh largest YMCA operator in the country. She is also currently advising on certain issues for the to-be-opened Museum of the American Revolution. Ms. Jacobs has written a number of articles and is a frequent lecturer on business organizations, corporate finance, venture capital, private equity fund governance and related business issues. She currently is an Adjunct Professor at the University of Pennsylvania Law School, where she is co-teaching a course on International Business Negotiations. Ms. Jacobs graduated with honors from the Villanova University School of Law and was a member of the editorial board of the Villanova Law Review. She received a Bachelor of Science Degree in Economics, cum laude, from the Wharton School, University of Pennsylvania.
