Entrepreneurship Legal Clinic

1982

The Clinic was one of the first clinics in an American law school to teach in a transactional practice setting.

The Clinic's mission is twofold, to:

  1. Give students hands-on experience in lawyering for entrepreneurs - both for profit and nonprofit; and
  2. Serve the community by offering free legal counsel.

In addition to serving the legal needs of program clients, Clinic students also conduct community workshops on legal issues relevant to entrepreneurs.

The Entrepreneurship Legal Clinic offers students a unique opportunity to learn the role performed by transactional business law practitioners, and develop and hone essential legal skills. Participation in the Clinic involves close faculty supervision with students serving as counsel for real business and nonprofit organizational clients. Projects undertaken by the students range from single incorporations to complex documentation of low-cost housing acquisition and financing.

For clients, the Clinic offers no-cost assistance in such matters as choosing and forming a legal entity, drafting bylaws and partnership/shareholder agreements, drafting contracts and loan documents, protecting intellectual property, filing for federal tax-exempt status, and facilitating real estate development activities.
