Harry Haynsworth, the chair of our effort, and I are looking forward to seeing you at our meeting on Sunday, November 18, 2007.

 

Most of you are familiar with the issue we will be addressing, but for those of you who are not, we will spend the first part of the meeting reviewing the background of the issue and events that have led up to our meeting.  Our mission and anticipated work product may be summarized as preparing amendments to the various uniform entity laws in response to a request from the National Association of Secretaries of State (“NASS”).

 

Attached are the following materials for your review in preparation for our meeting:

 

1.      NASS Company Formation Task Force Report & Recommendations, Approved by the NASS Membership on 7/18/07.

2.      A letter from the chairs of the NASS Task Force requesting that NCCUSL prepare amendments to the various uniform entity laws as proposed in the report of the NASS Task Force.

3.      Letter dated February 27, 2007 from Sen. Carl Levin to the National Governors Association.

4.      The text of S. 681 (Sens. Levin, Coleman, and Obama).

5.      A proposal to the NCCUSL Committee on Scope and Program dated July 6, 2007 recommending that NCCULS undertake this project.

6.      Letter dated September 6, 2007 to me from Under Secretary of the Treasury Stuart Levey.

7.      Letter dated November 1, 2007, from me to Under Secretary Levey.

8.      Proposed changes to the Model Business Corporation Act approved on first reading by the Committee on Corporate Laws on September 8, 2007.

9.      Proposed changes to the various uniform entity laws.
